By-Laws

Article 1 – Name

This Association shall be known as the Partridge Lake Property Owners Association. 

Article 2 – Purpose

The purpose of this Association is to promote the preservation and conservation of Partridge Lake by promoting programs to enhance the ecology of the Lake, to ensure the protection of property through programs aimed at reducing pollution, to promote reasonable and balanced use of the lake, and to enhance the conservation of the shore land and other areas around the lake.

Article 3 – Membership

REGULAR MEMBERSHIP: 
All persons who own property on Partridge Lake may be members of this Association upon the payment of the annual dues. Regular membership in this Association shall entitle the person to a vote at the annual meeting, to hold office in said Association and attend and participate at any function of this Association.

ASSOCIATE MEMBERSHIP: 
All persons of legal age in the relation of either spouse or issue of a regular member in good standing shall be entitle to be an associate member of this Association. An associate member shall have the right to hold office, to be present and participate in discussion of all matters brought before the membership at the annual meeting EXCEPT that an associate member may not vote for officers or on any matter raised at the annual meeting unless said associate member is casting the vote of a non-present regular member. Associate members are not required to pay dues.

HONORARY MEMBERSHIP: 
Upon the vote of the membership at an annual meeting, any person who would not qualify as a regular or associate member can become an honorary member of this Association. Honorary members shall not be required to pay dues. An honorary member shall not have the right to vote in Association affairs nor to hold office. All honorary memberships shall be voted on at the annual meeting each year.

LIFE MEMBERSHIP: 
Any present or prior member who is recommended for life membership by the Board of Directors upon the vote of the Association may be given life membership in this Association. A life member shall be entitled to all the rights of a regular member except the right to hold office or vote in Association affairs. A life member shall be an ex-officio member of the Board of Directors and may sit on such committees as the President may appoint him to.

Article 4 – Officers

OFFICERS: 
The officers of this Association shall be a President, a Vice-President, a Secretary, and a Treasurer, all of whom shall be members of this Association, and all officers shall be elected by the membership at its annual meeting. The term of office for all officers shall be for a period of two years. All officers shall be members of the Board of Directors.

PRESIDENT: 
The President shall preside at all meetings of this Association and shall serve as the Chairman of the Board of Directors of said Association. The President shall have the power to appoint members to any and all committees of this Association. The President shall also have the power to call special meetings of the Board of Directors. No person shall be elected President of this Association for more than two consecutive terms.

VICE-PRESIDENT:
The Vice-President shall preside at all meetings of the membership and all directors meetings in the absence of the President. They shall in addition thereto, perform such other duties as may be assigned to them by the President or by the Board of Directors.

SECRETARY:
The Secretary shall make and keep all records of meetings, votes, doings and proceedings of both the Board of Directors and the meetings of the Association.

TREASURER:
The Treasurer shall have custody of all money, books and accounts of the Association. The Treasurer shall have charge of the receipt and disbursement of all Association funds, sign all checks and be a signatory to all contracts binding the Association to the payment of money.

Article 5 – Board of Directors

DIRECTORS: 
There shall be a Board of Directors of this Association consisting of all elected officers plus a minimum of 8 and a maximum of 12 members of the Association who are to be elected from the membership. All Directors shall be put forth for approval by the membership of the Association at the annual meeting. The President of the Association shall be the Chairman of the Board of Directors. The current Board of Directors can approve a new member to the Board interim to the annual meeting approval by the full membership. The Board of Directors shall hold two meetings during the summer months and at such other times as may be appropriate upon the call of the Chairman of the Board or upon the petition of one third of the Board in writing.

The Board of Directors shall be charged with the responsibility of formulating the policy of the Association and for carrying out all directives of the Association.

A simple majority of the directorship shall constitute a quorum for conducting of all business. A vote of the Board shall be by a simple majority of Directors present, voting, except for the expenditure of funds in excess of Two Thousand Dollars ($2,000.00), which are to be approved by the Association membership prior to disbursement.

In the event that a Director ceases to be a member of this Association or resigns said office, the Board of Directors is authorized to fill such vacancy until the next annual meeting, at which time the membership votes on the new Director.

Article 6 – Meetings

The annual meeting of this Association shall be held in July or August of each year. The date of the annual meeting shall always be held on a Saturday or Sunday. The Board of Directors shall set the annual meeting date at their June meeting. Notice of said meeting shall be communicated to present and prior members of this Association two weeks prior to the scheduled meeting.

Only members in good standing may vote on matters at the annual meeting.  In any case the membership roll of the Secretary shall determine who is a member in good standing and entitled to vote at the annual meeting. All vote of the membership shall be by voice vote unless otherwise requested.

The annual meeting shall be held for the specific purpose of electing the officers and directors of this Association, for the appropriation of such sums of money in excess of Two Thousand Dollars as are recommended by the vote of the Board of Directors, to conduct the business of said Association, to vote and approve of any other matter not contrary to law or in contradiction with these By-Laws. The membership may be called upon to appropriate a sum in excess of Two Thousand Dollars ($2,000.00) without prior approval of said appropriation by the Board of Directors. 

The President, with the approval of the Board of Directors, may call a special meeting of the membership, with two weeks prior notice, in order to conduct important business requiring the approval of Association members.

Article 7 – Dues

The dues of this Association shall be set at the end of summer meeting of the Board of Directors for the ensuing year.

Article 8 – Salaries

No officer or director of this Association shall be entitled to a salary.

Article 9 – Amendments

The By-Laws of this Association may be amended only upon the majority vote of all members in good standing at a full membership meeting (the annual meeting or a special session). 

Any proposed amendment to these By-Laws shall be in order for vote by the membership at a full membership meeting, if:

  1. Said proposed amendment is approved by a two-thirds vote of the Board of Directors, present and voting; or
  2. Said proposed amendment is offered in writing by five (5) or more property owners who are members in good standing; and
  3. Said proposed amendment is sent to all persons who would be entitled to notice of the annual meeting at least two weeks prior to the full membership meeting on which a vote on said proposed amendment is to be held.

Article 10 – Dissolution

In the event of dissolution of this Association, any assets of the Association shall be distributed to a non-profit, charitable, environmentally-oriented organization having similar purpose.
